These Sale/Purchasing Terms of Service (“Terms”) govern the purchase of our smart motorcycle helmets and associated accessories (“Products”) through our website, mobile application, or authorized retailers (“Retailers”). By placing an order for any Product, you agree to be bound by these Terms. If you do not agree to these Terms, you may not purchase any Products.

2. Definitions

  • Products: Our smart motorcycle helmets and associated accessories.
  • User: You, the individual purchasing the Products.
  • Order: Your request to purchase Products from us.
  • Confirmation: Our formal acceptance of your Order.

3. Ordering Process

  • To place an Order, you must follow the online or in-store purchase process for the chosen Retailer.
  • Orders are not considered binding until they are Confirmed by us.
  • We reserve the right to refuse or cancel any Order at our sole discretion for any reason, including but not limited to:

    • Product unavailability.
    • Payment processing errors.
    • Suspected fraud or unauthorized activity.
    • Violation of these Terms.

4. Prices and Payment

  • All prices are displayed in USD and are subject to change without notice.
  • You are responsible for all applicable taxes and fees associated with your purchase.

5. Shipping and Delivery

  • Shipping costs and estimated delivery times will be displayed during the checkout process.

  • We are not responsible for delays caused by factors beyond our control, such as customs clearance, weather events, or carrier delays.
  • Title and risk of loss for the Products pass to you upon delivery by the carrier.

6. Returns and Refunds for Pre-orders and Normal Orders (post product launch)

Pre-Order Refund Policy:

  • Prior to Shipment: You may request a full refund for your pre-order by contacting us at finance@ichelmets.com before it ships. We will acknowledge your request within 5 business days and respond with a decision within the next 5 business days.
  • After Shipment: Once your pre-order has shipped, no refunds will be issued. However, if your product arrives damaged or defective, you can initiate a warranty claim for a replacement.
  • Changes and Cancellations: You can modify or cancel your pre-order before it ships by contacting us at finance@ichelmets.com. Please note that cancellations are subject to a $100 restocking fee.

Delivery and Delays:

  • Estimated Delivery Date: While the estimated delivery date is July 29, 2024, please understand that this is an estimate and may be subject to change due to unforeseen circumstances beyond our control. We will communicate any significant delays or updates promptly through email, our website, social media, and relevant crowdfunding platforms.
  • Order Delays: You acknowledge and accept the possibility of delays in order fulfillment and delivery. We will do our best to meet estimated timelines but cannot guarantee them.

Chargebacks:

  • By placing a pre-order, you waive your right to initiate chargebacks for non-shipment before the estimated date or for delays during fulfillment.
  • We reserve the right to dispute any unauthorized chargebacks and pursue recourse in accordance with our Terms of Service.

Normal Order Refund Policy:

  • You may return your purchased Products within 7 business days from the delivery date for a full refund, subject to the following conditions:

    • The Products are in original condition, with all packaging and accessories intact.
    • The Products have not been used or damaged.
    • You provide proof of purchase.

  • Upon approval, you will receive a return shipping label and instructions.
  • Refunds will be issued to the original payment method within 7-10 business days.

7. Warranties and Disclaimers

  • All Products are covered by a 1 year limited warranty against manufacturer defects in materials and workmanship.

Manufacturer: Intelligent Cranium Helmets

A. Warranty Coverage:

This warranty covers defects in materials and workmanship in the hardware, software, and features of your smart motorcycle helmet for a period of 3 years, starting from the date of receipt. This warranty includes repair or replacement (at our discretion) of defective parts and functionalities.

B. Covered Hardware and Features:

  • Front Action Camera: Image quality issues, connectivity problems, malfunctioning recording.
  • Heads-Up Display: Resolution issues, pixelation, display flickering or malfunctioning, incorrect information displayed.
  • Dual Rear Cameras: Issues with seamless stitching, low video quality, malfunctioning, incorrect field of view or auto recording.
  • Dual ToF Sensors: Inaccurate proximity detection or malfunctioning.
  • Photochromic Tinting Visor: Slow or inconsistent tinting, visor malfunction.
  • Rear Awareness LEDs: Dimness or malfunctioning LEDs.
  • Respiratory Filter: Filter clogging before expected lifetime, poor air filtration performance.
  • Rider to Rider (R2R) Comms: Connection problems or chat malfunction.
  • File Storage (Expandable): Storage failure or malfunction.

C. Exclusions:

  • Normal wear and tear, including scratches, fading, and cosmetic damage.
  • Damage caused by accident, misuse, neglect, or improper maintenance.
  • Damage caused by exposure to extreme temperatures, chemicals, or solvents.
  • Damage caused by unauthorized modifications or repairs.
  • Consumable items like batteries and replacement visors.
  • Software updates or changes made after the original purchase.
  • Cellular connectivity issues beyond our control (for Emergency Services Alert System).

D. Claims Procedure:

  • Please contact our customer service team at techsupport@ichelmets.com to make a warranty claim.
  • Provide proof of purchase (original receipt or invoice) and a detailed description of the issue.
  • Our customer service team will diagnose the problem and determine if it is covered under warranty.
  • If covered, we will repair (via remote support or software update) or replace the defective parts or functionalities at our discretion.
  • You may need to return the helmet or components for inspection and repair.
  • We will cover return shipping costs if the claim is valid.

E. Limitations of Liability:

  • This warranty is the sole and exclusive remedy for any defect in the smart motorcycle helmet. Our liability under this warranty is limited to the repair or replacement of defective parts or functionalities. We shall not be liable for any incidental, consequential, or indirect damages arising from the use or misuse of the smart motorcycle helmet.

F. Governing Law:

This warranty shall be governed by and construed in accordance with the laws of the State of Virginia.

G. Entire Agreement:

This warranty constitutes the entire agreement between you and Intelligent Cranium Helmets regarding the smart motorcycle helmet. No other representations or warranties, express or implied, are made.

8. Product Safety and Disclaimer

  • Safety Warning: Using the Products, even as intended, may involve inherent risks, including serious injury or death. You understand and acknowledge that you use the Products at your own risk, and we are not responsible for any risks or harm arising from your use.
